- 01THE DEAL — The two sides announced a definitive agreement on November 2, an all-stock transaction.
- 02THE TERMS — An exchange ratio of 4.5 shares, a reference value of about $1,132 per share, a 23.9% premium.
- 03THE REACTION — Marvell's shares fell about 13% that day; the market priced dilution first.
WHAT HAPPENEDWhat Happened
Marvell and Lumentum announced a definitive agreement on November 2, an all-stock transaction valuing Lumentum at a reference enterprise value of $115 billion. Lumentum shareholders will receive 4.5 shares of Marvell common stock for each Lumentum share, worth about $1,132 per share based on the unaffected closing price on October 28, a premium of about 23.9%.
After closing, Marvell's existing shareholders will hold about 67% and Lumentum shareholders about 33%. Marvell Chairman and CEO Matt Murphy will stay on, and Lumentum CEO Michael Hurlston and two other directors will join the combined company's board. The two sides expect to close in the first half of 2028.
The market's first reaction was not warm. Marvell's shares fell about 13% on the announcement day, closing at $170.80. What investors worry about is dilution and integration risk, not the direction of the deal itself. The bet on the optical connectivity layer will be settled only after the shareholder votes and regulatory review.
COPPER TO LIGHTLight Is Becoming the Bottleneck of AI Data Centers
Transmission distances inside data centers keep getting shorter while bandwidth demands keep rising. Copper hits the wall first on power consumption and signal loss, and optical modules and laser devices move from supporting roles to the main line. What Marvell is buying in Lumentum is device capability on that main line.
Marvell already makes data center chips; Lumentum makes lasers and optical devices. Put together, the goal is co-design from chip to optical connection. Whether co-design is delivered will be judged by the product roadmap, not by announcement language.
ALL STOCK, MOVING PRICEAll Stock Means the Price Moves on Its Own
The $115 billion figure is easily misread. It is a reference value computed from the October 28 share price; the exchange ratio is what the contract actually locks. Every $10 Marvell's share price falls, Lumentum shareholders receive $45 less per share in value.
For Lumentum shareholders, this is a floating check that cashes only in 2028. In between, the share price, regulators and integration can each rewrite the final payoff. With deals like this, read the exchange ratio first, then the headline number.
BIGGEST DEAL OF 2026The Biggest Tech Deal of 2026, With a Higher Bar
By the companies' account, this is the largest technology deal of 2026. The combined company says its addressable market expands to $550 billion and expects annualized cost synergies of more than $1 billion in the first year. These are the company's own projections, not results already achieved.
The deal documents also leave a back door. If the transaction fails for regulatory reasons, Marvell may have to pay a $3.2 billion breakup fee. The bigger the number, the stricter the scrutiny, and the first-half-2028 timetable itself carries uncertainty.
THE SHIFTWhat Changed
SIGNAL JUDGMENT — ANALYSISThe Connectivity Layer Is Being Merged Into One Company
Tokenta Signal's judgment: competition in AI infrastructure has spread from compute chips to the connectivity layer. Whoever controls both chips and optical devices can take an extra slice of profit in the next generation of data centers.
