- 01THE ROUND — On October 29, Cohere announced the first closing of its Series E, targeting up to C$7 billion.

- 03THE STATE — The Canadian government committed up to C$1.6 billion, taking a staged equity stake.
WHAT HAPPENEDWhat Happened
On October 29, Cohere announced in Toronto the first closing of its Series E, targeting up to C$7 billion at a full-subscription valuation of C$35.7 billion. The company called it the largest private financing in Canadian technology history. The round was led by a Schwarz Group company, with new investors including the Canadian government, Bell Ventures and Bullhound Capital, and existing backers Nvidia, Inovia Capital and Prosperity7 Ventures participating.
This time the Canadian government became a shareholder directly. Ottawa committed up to C$1.6 billion, deployed in stages, in exchange for regular reporting and a series of commitments. Cohere pledged to remain incorporated and headquartered in Canada, add at least 1,000 technical jobs in Canada by 2030, and invest at least a further C$1.7 billion in compute.
The capital is directed at three areas: the model and product roadmap, vertical solutions for regulated industries, and the long-term compute needed to train frontier enterprise models. Cohere said annual recurring revenue grew 165% year on year as of the third quarter of 2026.
SOVEREIGNTY AS EQUITYSovereign AI Moves From Slogan to Cap Table
Governments used to provide subsidies and orders; this time one became a shareholder. Equity means a voice, and it also means the exit path has to be accounted for alongside the public interest.
For customers in regulated industries, a state shareholder is a credential of trust. For customers in other countries, the same credential can become a screening question.
THE COMPUTE COMMITMENTThe Compute Commitment Matters More Than the Raise
The C$1.7 billion compute investment and the 1,000 jobs are the most concrete parts of this deal. Models can be called across borders; the location of compute has a nationality.
Cohere's bet is clear: keep training and inference inside Canada, in exchange for long-term orders from government customers and regulated industries.
TARGET VS CLOSEDA C$7 Billion Target Is Not C$7 Billion in the Bank
The announcement describes a first closing and a target ceiling; it does not disclose the specific amount locked in at the first closing. Media reports citing the company say the first tranche already covers most of the target.
When reading financing news, separate three amounts first: closed, committed, and the target ceiling. Mistaking the target for money received is the most common misreading.
THE SHIFTWhat Changed
SIGNAL JUDGMENT — ANALYSISThe Next Page of Sovereign AI Is the Balance Sheet
Tokenta Signal's judgment is unchanged: the real test of sovereign AI is not the slogan, but where the compute lands, whether the jobs materialize, and whether customers are willing to pay for jurisdiction.
